About the Role

We are seeking a highly skilled and experienced Director of Corporate Counsel to join our dynamic legal team. This key position will be based in the USA and will be responsible for providing comprehensive legal support on a wide array of corporate matters. The ideal candidate will play a critical role in corporate governance, mergers and acquisitions, and compliance with U.S. securities laws.

Responsibilities

• Lead and manage legal support for corporate governance and advising on corporate entity structures.
• Oversee mergers and acquisitions, including due diligence, drafting transaction documents, and negotiations.
• Develop and implement equity plans, ensuring compliance with applicable laws and regulations.
• Provide legal guidance on strategic financing transactions, including credit agreements, debt financings, and equity financings.
• Support the company’s compliance with U.S. securities laws and related regulations.
• Collaborate with cross-functional teams to address legal issues and provide strategic advice.
• Monitor and analyze legal developments and trends that may impact the business.
• Train and mentor junior legal staff as needed.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• Minimum of 7 years of experience in corporate law, with significant experience in mergers and acquisitions.
• Strong understanding of corporate governance and U.S. securities laws.
• Proven track record of managing complex legal transactions and providing strategic advice to executives.
• Excellent negotiation, drafting, and communication skills.
• Ability to work independently and as part of a team in a fast-paced environment.
• Strong analytical and problem-solving skills.
• Active member in good standing of a state bar association.
